1. Acceptance of Terms

By installing, accessing, or using the WhiteLabel.Wine Shopify application ("WhiteLabel.Wine," "the App," or "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

WhiteLabel.Wine is a Shopify application that enables merchants to:

5.1 Order Processing

Order Flow:

  1. Customer places order in your Shopify store
  2. Order automatically transmitted to WhiteLabel.Wine
  3. Wine supplier receives fulfillment request
  4. Product prepared and shipped directly to customer
  5. Tracking information provided to merchant and customer

5.2 Fulfillment Standards

Processing Time: Orders processed within 1-3 business days. Holiday and peak season delays may apply.

Shipping: Standard shipping 3-7 business days, express shipping 1-3 business days. Tracking provided for all shipments. Age verification may be required on delivery.

6. Pricing and Payments

6.1 Pricing Structure

Commission Model: Merchant sets retail prices, fixed wholesale cost per product, merchant retains difference as profit, transparent pricing with no hidden fees.

6.2 Subscription Plans

6.3 Refunds and Cancellations

Service Cancellation: Cancel subscription anytime with no cancellation fees. Service continues through end of billing period. Data export available for 30 days after cancellation.

Refund Policy: 14-day free trial for new accounts. Refunds processed within 5-10 business days. No refunds for completed order fulfillment.

7. Intellectual Property Rights

7.1 WhiteLabel.Wine Intellectual Property

We own the WhiteLabel.Wine application and technology, trademarks, logos, and branding, documentation and support materials, and analytics and reporting tools.

License Grant: We grant you a limited, non-exclusive, non-transferable license to use WhiteLabel.Wine for your business purposes, subject to these Terms.

7.2 Your Responsibilities

You must ensure you have rights to use all content, comply with intellectual property laws, and indemnify us against IP infringement claims.

8. Data Protection and Privacy

Customer data is collected only for order fulfillment, protected with industry-standard security, not shared except as necessary for service delivery, and retained according to legal requirements.

9. Service Availability

9.1 Uptime Commitment

We commit to 99.9% uptime with planned maintenance communicated in advance. Emergency maintenance may be performed as needed.

9.2 Support Services

Support Channels: Email support at support@whitelabel.wine, knowledge base and documentation, video tutorials and guides.

Response Times: General inquiries within 24 hours, technical issues within 12 hours, critical issues within 4 hours.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYSHOP ENTERPRISES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS OR BUSINESS OPPORTUNITIES, DAMAGES EXCEEDING THE AMOUNT PAID FOR THE SERVICE, OR DAMAGES CAUSED BY THIRD-PARTY SERVICES OR SUPPLIERS.

10.3 Indemnification

You agree to indemnify and hold harmless MyShop Enterprises from claims arising from your use of the service, violation of these Terms, infringement of third-party rights, and your business practices and customer interactions.

11. Termination

11.1 Termination by You

You may terminate your account at any time by cancelling through your account settings or contacting customer support.

11.2 Termination by Us

We may terminate or suspend your account for violation of these Terms, fraudulent or illegal activity, non-payment of fees, extended inactivity, or service discontinuation.

11.3 Effect of Termination

Upon termination, access to the service will be disabled, pending orders will be fulfilled, final payments will be processed, and data export will be available for 30 days.

12. Modifications to Terms

We may modify these Terms at any time. Changes will be effective upon posting updated Terms on our website, email notification to registered users, and notice within the application.

Continued use of the service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia without regard to conflict of law principles. Any disputes will be resolved in the courts of New South Wales, Australia.

13.1 Dispute Resolution

We prefer resolution through direct communication and good faith negotiation, mediation through agreed-upon mediator, arbitration if mediation fails, and litigation as last resort.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and MyShop Enterprises regarding the use of WhiteLabel.Wine.

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign your rights under these Terms without our written consent.
